Welcome to VERTAL.

These Terms of Service ("Terms") govern your access to and use of the VERTAL platform, website, applications, products, software, APIs, artificial intelligence services, blockchain services, and related technologies (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

VERTAL is a technology platform within the KUBO Protocol ecosystem that provides artificial intelligence solutions, blockchain infrastructure, digital asset services, enterprise tools, cybersecurity integrations, cloud technologies, and related digital services.

To use the Services, you must:

• Be at least 18 years old, or the age of majority in your jurisdiction;
• Have the legal capacity to enter into a binding agreement;
• Comply with all applicable laws and regulations.

VERTAL reserves the right to refuse service, suspend accounts, or terminate access at its sole discretion.

To access certain Services, you may be required to create an account.

You agree to:

• Provide accurate and complete information;
• Keep your credentials secure;
• Maintain the confidentiality of your account;
• Notify VERTAL immediately of any unauthorized access.

You are responsible for all activities conducted through your account.

You agree not to:

VERTAL reserves the right to investigate and take appropriate action against violations.

Certain Services may utilize artificial intelligence and machine learning technologies.

You acknowledge that:

• AI-generated outputs may contain inaccuracies;
• Outputs should not be relied upon as legal, financial, medical, or professional advice;
• Users remain responsible for verifying information before making decisions;
• VERTAL does not guarantee the accuracy, completeness, or suitability of AI-generated content.

You retain ownership of content you upload, submit, or create through the Services ("User Content").

By using the Services, you grant VERTAL a worldwide, non-exclusive, royalty-free license to:

• Process User Content;
• Store User Content;
• Display User Content where necessary;
• Improve and operate the Services;
• Ensure security, compliance, and platform functionality.

You represent that you have all necessary rights to submit such content.

All rights, title, and interest in the Services, including software, designs, trademarks, logos, source code, documentation, and proprietary technology, remain the exclusive property of VERTAL and its licensors.

Nothing in these Terms transfers ownership of intellectual property rights to users.

Unauthorized use is strictly prohibited.

Certain Services may interact with blockchain networks, smart contracts, cryptocurrencies, tokens, or digital assets.

Users acknowledge that:

• Blockchain transactions are generally irreversible;
• Digital asset values may fluctuate significantly;
• Users are solely responsible for safeguarding wallet credentials;
• VERTAL is not responsible for losses caused by user error, market conditions, blockchain failures, or third-party services.

Certain Services may require payment.

Users agree to:

• Pay all applicable fees;
• Provide valid payment information;
• Comply with payment processor requirements.

Unless otherwise stated, fees are non-refundable.

VERTAL may modify pricing at any time with reasonable notice.

The Services may integrate with third-party platforms, APIs, software, or websites.

VERTAL does not control and is not responsible for:

• Third-party content;
• Third-party services;
• Third-party privacy practices;
• Third-party availability or performance.

Use of third-party services is subject to their respective terms and policies.

Security across the VERTAL ecosystem is supported by Cyber Segurit Infinit, a cybersecurity company established by the VERTAL administration group.

While VERTAL implements industry-standard security measures, users acknowledge that no technology system can guarantee complete security against all threats.

VERTAL strives to maintain reliable Services but does not guarantee uninterrupted availability.

Services may be:

• Modified;
• Updated;
• Suspended;
• Discontinued;

at any time without liability.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTAL DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY OF INFORMATION;
• UNINTERRUPTED OPERATION.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTAL SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• LOSS OF PROFITS;
• LOSS OF DATA;
• BUSINESS INTERRUPTION;
• DIGITAL ASSET LOSSES.

IN NO EVENT SHALL VERTAL'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE USER FOR THE RELEVANT SERVICE DURING THE PRECEDING TWELVE (12) MONTHS.

You agree to indemnify and hold harmless VERTAL, its affiliates, officers, employees, contractors, and partners from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Services;
• Violation of these Terms;
• Violation of applicable laws;
• Infringement of third-party rights.

VERTAL may suspend or terminate access to the Services at any time if:

• These Terms are violated;
• Fraudulent activity is detected;
• Required by law;
• Necessary to protect users or platform security.

Upon termination, your right to use the Services immediately ceases.

These Terms shall be governed by and interpreted in accordance with the laws applicable to the jurisdiction in which VERTAL operates, without regard to conflict-of-law principles.

Any disputes shall be resolved through the appropriate courts or dispute resolution mechanisms available under applicable law.

VERTAL may modify these Terms at any time.

Continued use of the Services following publication constitutes acceptance of the revised Terms.
